1. Eligibility

You must be at least 18 years of age to use MarkBudget. By using the Service, you represent that you meet this requirement and that you have the authority to agree to these Terms on behalf of yourself or the organization you represent.

2. Description of Service

MarkBudget is a web-based platform that helps marketing teams plan, track, and manage their budgets. Features include a hierarchical budget grid, committed and actual spend tracking, multi-currency support, secure budget sharing, and Excel import/export. The Service is accessed via a web browser at markbudget.com.

3. Account Registration & Company Workspaces

• —When you sign up, you create a personal account and a company workspace. The account holder who creates the company is designated as the Admin.
• —Admins may invite team members to join the workspace. Each invited member must accept the invitation and create their own account.
• —You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• —You agree to provide accurate information and to keep it up to date.

4. Free Trial

• —New accounts receive a 14-day free trial with full access to all features, starting from the date of signup.
• —At the end of the trial, a paid subscription is required to continue using the Service.

5. Subscriptions & Billing

Payments are processed by Paddle.com, which acts as the Merchant of Record for all transactions. By subscribing, you also agree to Paddle's Terms of Service and Privacy Policy, which govern the payment relationship.

• —Team Plan: Up to 7 seats — $99/month or $990/year
• —Scale Plan: Up to 15 seats — $199/month or $1,990/year
• —Annual plans are billed as a single payment covering 12 months of access at the price of 10 months.
• —Subscriptions renew automatically at the end of each billing period. You may cancel at any time before the renewal date to avoid the next charge.
• —Prices are listed in USD and are exclusive of any applicable taxes. Paddle is responsible for collecting and remitting taxes where required.

6. Refund Policy

We offer a 14-day money-back guarantee on your first payment.

• —To request a refund, email info@markbudget.com with the subject line "Refund Request" within 14 calendar days of your first charge.
• —Approved refunds are processed through Paddle and typically appear within 5–10 business days, depending on your payment method and bank.
• —Refunds are not available after the 14-day window, for subsequent renewal charges, or for annual subscriptions after the 14-day period has elapsed.

7. Cancellation

• —You may cancel your subscription at any time directly from the application's Settings page, through your billing portal (managed by Paddle), or by contacting us at info@markbudget.com.
• —Upon cancellation, you retain access to the Service until the end of the current billing period. No prorated refunds are issued for unused time beyond the 14-day refund window.
• —The company Admin may delete the entire company workspace at any time from Settings. This action is permanent and irreversible — all company data including the budget hierarchy, financial entries, and team records will be immediately and permanently deleted. If there is an active subscription, it will be set to cancel at the end of the current billing period without a prorated refund.

8. Acceptable Use

You agree not to:

• —Use the Service for any unlawful, fraudulent, or abusive purpose
• —Attempt to reverse-engineer, decompile, or extract proprietary code or data from the platform
• —Share account credentials with individuals beyond your subscription's seat limit
• —Attempt to gain unauthorized access to other users' company workspaces
• —Use automated scripts to scrape or bulk-extract data from the platform

9. Data Ownership

You own your data. All budget data, transaction records, and financial information you enter into MarkBudget belongs to you and your organization. We do not claim any ownership over it.

We do not use your financial data for any purpose other than operating the Service.

You can export your data at any time using the built-in Excel export feature.

10. Intellectual Property

The MarkBudget platform, including its design, code, branding, and all related intellectual property, is owned by Nexodule Services LLC. You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without our express written permission. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription period.

11. Disclaimer of Warranties

The Service is provided "as-is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We will make reasonable efforts to maintain availability and data integrity, but we make no guarantees.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Nexodule Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees you have paid to us in the three months immediately preceding the claim.

13. Termination

• —You may terminate your account at any time by deleting your account from Settings or cancelling your subscription.
• —We may suspend or terminate your access immediately and without notice if you violate these Terms, engage in fraudulent activity, or if continued service creates legal or security risk.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming.
